Upgrading my sloowww donkey

Hellow, i have a 1.7Ghz P4 with a Intel D845GBV mobo (very old i know) which is used for downloading (multiple files and all that jazz).

I want to upgrade the mobo, cpu, and the memory

I have a VERY limited budget, since i got a computer NOT 22222222 Long ago
This time i have to use my own money :(

Choice 1:

E6300 CPU
Asus P5B (intel 965 chipset)
2x1GB Mushkin EM2-5300 Ram (667mhz, JEDEC standard, 1.8-2.0v operation, not that overclockable)


Choice 2:

E6300 CPU
MSI P965 Neo-F (intel 965 chipset, not overclockable highest 333mhz)
2x1G Corsair XMS2 - 6400 Ram (800mhz, very overclockable, up to 2.2v operation)


My question to you all is, shud i get something that can overclock cpu, or something that overclocks ram?

which increases the overall performance?

one last question, if i do overclock the cpu in choice 1, dont i also have to overclock the ram to meet up to the standards?

well, if ur downloading files, u might wanna upgrade your connection instead of your comp.. theres nothing wrong with it unless ur gaming on it..

i can run dark messiah barely on low-medium settings, thats a reason for me to upgrade, but not for the hell of emptying my pockets
 
The first choice is far better. Think about it: there is no use for slightly better memory if you can't overclock it really high. Overall, the ASUS P5B is a great board.
