Total disregard for a budget... 3CCD... Much better color representation and typically a higher resolution picture. Find the best OPTICAL zoom available. Don't worry about the digital zoom. Find the minimum lux ratings for the camera. Disregard that for "night shot" and such modes. The lower the number, the better it does in low light. Many do offer 0 Lux(see in pitch black) but that's only with night-mode. My camera I beleive is 7, which is rather poor...
If you wish to edit your video, get something with a Firewire/DV port, preferably a miniDV camera. Most hard drive and DVD based camcorders don't offer very good options for capturing and editing video.
I've not looked into camcorders recently so I don't know of any models or anything right off... I'd just look for a good miniDV camcorder. Basically everything above still holds true, though you probably won't find a new 3CCD camcorder for under $300.
