Video Card Running out of memory

hey guys.

when i play gta4 sometimes the game will randomly close and i will get a message that my video card ran out of memory. i have tried to lower the settings but it still happens

now i had this in the game thread but i think this is a much more appropiate place to discuss this.
i was told that my gpu might not be dumping the old memory.
how can i check this
here is what the game configures my setting to automatically:
 
Try lowering the settings some more, on the config page, it will say Video Memory, try keeping the numbers in the green.
 
well after running some stability tests for my graphics card which it passed i decided to do another benchmarking test on gta4.

and this time the test came back different than what it was in the beginning.
now it is using way more system memory than my graphics memory.

its something like this:
cpu: 37%
system memory: 87%
gpu: 47%

the settings are the same except for the water qualtity which i put to high instead of very high.

so could it be that its running out of system memory then its starts using my gpu memory and then it runs out of that and then i get that error "out of gpu memory"
