If this is so, the version of vista you will be able to upgrade to will most likely be home basic. This version of Vista, is the most cut-down of them all. The main drawback is that you will not get the "aero glass" feature that vista is known for with its nice GUI effects.
i get a free upgrade so its not too bad for me but that is a bit of a pisstake paying 50 - 80% more then the us
im guessing that your free upgrade is because you have recently purchased a system, and it had the "vista ready" label on it?

I have used the Windows Vista Advisor tool and my sound card, belkin wireless card and a few other pieces of equipment don't have drivers out for Vista yet (maybe because its not released yet!) so i'm going to leave it alone for a while. My brother has a free Vista upgrade on his laptop when it comes out so i always have that option to tinker around on that to see if i like it! But for now i'm not totally convinced.
