One has a built-in modem, which (theoretically) would replace your existing modem. YOu would want to run that by your internet provider and make sure the unit would work for your installation.

The other is a plain router/switch. It would plug into your existing modem.
 
Ok thanks for explaining that, ill probably get the modem router as it is just the model above the one i currently have

Well, it would be one less wall-wart sucking up energy...
