Will this motherboard fit?

i have a dell xps 600, the motherboards gone in it, so im going to replace it, but im just wondering if the ASUS P5N-D will fit where the original was? and im going to use a pentium D 945, with my 2 nvidia 6 series gpu's and 2GB ram, is this a good set up? :confused:

I checked the CPU and its an Intel Pentium 4 650 3.4Ghz. That's a 775 socket? and if it is it should work in the Asus motherboard?
