My system specs are
intel PIII-750Mhz
256MB RAM
Intel(R)810 Chipset graphics driver

I just wanna know wether these specs are good enough to run XP or not?

XP will go on while not seeing the performance like you would with more ram and a faster cpu. The minimum system requirements are as shown here.
Here's What You Need to Use Windows XP Professional

•PC with 300 megahertz or higher processor clock speed recommended; 233 MHz minimum required (single or dual processor system);* Intel Pentium/Celeron family, or AMD K6/Athlon/Duron family, or compatible processor recommended
•128 megabytes (MB) of RAM or higher recommended (64 MB minimum supported; may limit performance and some features)
•1.5 gigabytes (GB) of available hard disk space*
•Super VGA (800 x 600) or higher-resolution video adapter and monitor
•CD-ROM or DVD drive
•Keyboard and Microsoft Mouse or compatible pointing device http://www.microsoft.com/windowsxp/pro/evaluation/sysreqs.mspx

Minimum requirements for running XP:
233 MHz processor,
64 MB RAM (128 recommended),
2 GB hard disk with 1.5 free space.

So it'll work. But how good?
Well, for typing should be enough :) and few more things.

yea ive ran xp on a 266mhz pc, didnt run awesome but it ran, and ive had it on a 650 mhz pc, that had 512 megs of ram and it ran alright so just make sure u have the hard drive space and id throw another 256mb ram stick in there, or a 512 and ull be alright

If you are simply going to run XP for the basics you will probably squeeze by being just over the minimum. But I wouldn't plan on running any new games out. The support for some of the more intense games and larger applications now available would pull it down. More memory and maybe a larger and faster hard drive would be a plus there.

yeah xp should run fine,My old compy had a P2 400Mhz and 256mb of ram....it ran quite nice so your p3 750 should be even better.
