XP Pro upgrade? Help

My dad has a copy of an XP Home to Professional upgrade that was used in his company for a while, but the computer that it was used on is no longer in use (dead/scrapped). What I want to know is, if I were to get a version of XP home edition, and apply the upgrade, would Microsoft allow me to register it? My worries are due to the fact that it was bought for, and operated on, an office computer, and while that computer no longer uses it, I'm concerned that Microsoft will not allow me to re-register it on my PC, since I have no way with which I can prove to them that the original registration is no longer in use.

I'm entirely new to XP, so I have no clue how Microsoft deals with the NTFS OS' registration.
 
Just try it see what happens and as long that is only installed in one sytem you should be ok. The only problem you may have is when you register you can do it by phone or online. I would register online that way you will be able to know if it would let you do it.
 
Do you mean thats its a XP Professional Upgrade? cause you dont need to have home installed on it first, you can have win98 on it. And i've installed windows xp home w/sp2 on 2 comps before and it let me.

...no modem/net connection available :(. What would be a possible problem with registering it over the phone?

Alright, I'm gonna go ahead and try it tonight (since it backs up the previous OS anyway) and see how it goes.
