Will Vista Ultimate 64-bits runs on Intel Core 2 Quad 6600?

I would like to know if I can upgrade my os to 64bits. I am current have an Intel Core 2 Quad 6600, 2.4 GHz. Please advise.

Yes it does matter. He won't have any problems, but in general, you need to have a CPU capable of 64 bit processing in order to run a 64 bit OS.
