I'm looking for a new CPU and I found two Phenom II X4. The only difference between them seem to be a difference in wattage - 125W and 140W. The latter also weighs 50 g more. I suppose the first one is the best choice?

The only amd cpu with a 140W TDP is the 965, which quite honestly is not worth the money over a 955.
 
The one with lower wattage will generate less heat, so it will potentially be better for overclocking.
 
See if you cannot get a 955 for cheaper, they both have unlocked multis and unless your running extreme cooling(eg- dry ice or liquid nitrogen) it will no benefit over a 955.

So the diff in GHz isn't noticable? I also run GTX 295 if that is of importance. I believe someone told me the CPU needs to be able to "keep up" with the GPU.

What he's saying is the 955 and 965 both overclock to the same point...about 3.8-4.0ghz. So save money and just buy the 955.

They have unlocked multipliers, overclocking them is relatively easy and with good cooling you can hit around 4Ghz if you are lucky. The only other option i would say is look into P55 if you are only running a single GPU, mobo and cpu can be had for similar prices to the phenom II, except you get the newer nehalem architecture on the core i5.
 
Yah, if you're going Phenom II X4, and you're in that price range, get the 955. The 955 seems to pull its weight better when matched at equal clock speeds with the 965 and they clock about the same in the end as above mentioned.
