I am upgrading from xp to win 7 and not sure if I can run the 64bit or if I should stick with the 32bit... Could you let me know your opinion?
Here are my specs.
Dell xps 400
Intel pentium d 2.8 ghz, 2.79 ghz
4gb ram
320 gb hd
Ati radeon hd 4350

If you need to know anymore specs, lemme know... I'm thinking I should go with the 64bit version so all my ram is actually utilized.... Am I right to think this?

Its possible to run all your RAM in Windows 7 32Bits...

But it got to be tested because in rare cases some drivers arent ready to run with more memory and can give some BSODs
Why am i still using 32bits? because programs compatibility off course..
And yes to your question if your cpu can run in 64Bits:
http://processorfinder.intel.com/details.aspx?sSpec=SL88T
look for EM64T technology enabled there

Hope that helps in your decision..

Ive not had any single thing not run in 7 x64 bit for me yet....een back in vista x64 i only had a app or two not run....but now thats a thing of the past imo.

64 bit is the future...and ready for all that ram!

i had to jump through a few hoops to get some proggys working with 7 pro.
did happen though. just another adventure. like everything else takes time.

no.... my windows 7 32 bit says 4GB (3.00 GB usable)

Well i gonna try to resume the entire story around the 3GB of limit in WIN7 32Bits:
The Kernel of WIN7 was designed to work with more than 3GB of RAM,but Microsoft decided was better to limit the kernel.
Why? some folks believe that microsoft was having a few problems with drivers that werent designed to work with more ram than that, other believe that microsoft is pushing the users to upgrade to 64Bits...
Heres the thing:
Intel and AMD have been designing for the last years CPUs that can achieve not only 32Bits but 36Bits, giving you more adressable RAM in a 32Bits environment.
The only thing that is need to be done is swop the kernel for a modified one so the new one is not limited to the 3GB (the patch does evrything for your)
After the new kernel aplied you need to reboot the machine and at the boot he ask you if you want to boot from your normal kernel or the new one (what is greate because if you have any problems with the new one just boot from the normal oneand delete the modified)
I have been using it fot the last 4 or 5 months now and so far not even a Blue screen (everything smoth).
The patch only works with the 7600 build so far (that i know of..)
You can download the Modified WIN7 kernel here to test it out and see if its stable with your drivers in your machine:

The highest possible memory address with 945 is 4G. So you cannot ever get 4GB usable with it. Not even by modifying the kernel.

But its possible to open the kernel until the limits of the chipset..
Because his windows is only giving him 3GB usable RAM (maybe can go until 3.5+GB with the patched kernel..

The kernel is capped at 4GB. That 4GB includes MMIO plus RAM. MMIO is what makes you have less than 4GB usable.

Yes, i know that,
but also possible to use all is adressable RAM to put it running in the OS (we are talking at least more than 512MB of usuable RAM.
So i think is a good idea to give a try for that patched kernel.

It is not possible. It is a hardware limitation. You need to be able to address above 4G and have memory remapping support. 945 doesn't do either.
