Upgrade version on blank computer

Hey there,

My friend can get a legal windows 7 ultimate 64-bit upgrade version for me, I was wondering, can I install that on a blank computer anyhow?
I can read that it's a upgrade, but maybe there is another way for it?
And if that wouldn't work, but a friend will give me a copy of a xp version, wich could maybe be illegal and I would upgrade it with a legal upgrade version, would the outcome be legal or illegal?
 
Install it the first time without putting a key in. Will make it a trial. Then install again, picking upgrade this time. Put the key in. After the install just delete the Windows old folder.

So when my fresh new computer tells me to put in the os disc I give him the upgrade but don't put in a serial, then it installs? and i have a trial version?
then I assume I need to shut down my computer, disc with upgrade in it en restart it and then upgrade it again WITH serial?
 
Actually you can install it as the trial and then just insert the key from the System Information screen once everything is installed.

I have done it that way and it worked, guess it would be worth a try before installing the second time. But for some reason I have had it kick the key saying it didnt match the version installed.
