One is OEM and one is retail.

The only difference being that the OEM is just the processor, while the retail version includes the heatsink/fan, manual, and retail packaging.

then y is the retail version cheaper if it comes with everything?

Probably because when they received the OEM's, they were selling for much higher, but since no one bought them, they received more retail versions which they could sell for cheaper. Im not just, thats just my guess.

But the retail version would be the best way to go.
