How bad is it really. I've heard some pretty bad things. Also, what IS the difference between 32bit and 64bit. I dont mean technical, but like what would I notice (aside from having more ram)
 
Its perfectly fine. There is not a single problem with it, been on it as my main OS now for 1 1/2 years.
 
The transition from 32 to 64bit is unavoidable as time progresses. The differences here over going from 16 to 32bit a decade ago is that the market place for softwares as far as desktops are concerned is still 32bit while MS provides a degree of backward capability with each new version including the 64bit editions.

Performance wise you can't expect to see any immediate gains while the 64bit editions take into account the increased capacities for memory seen on the newer boards. Yet there are still problems seen when simply going to install a 64bit edition with over 2gb of memory installed with certain hardware configurations.

Many rushed at a 64bit edition expecting to see some large performance gain since more memory is available as ram with 64bit over 32bit due to limitations of mapping out memory addresses over a certain amount to hardwares making them unavailable for games, apps, etc. in a 32bit edition.
 
realy with 64 bit vista is just able to see and use more ram,im not sure what extras it has aswell but 64 bit runs much better than the 32 bit ran on my rig.

if your looking to purcahse Vista than go 64 bit because if you plan any memory upgrades in the future youl be stuck realy and if you have a 64 bit processor then thats the way to go.
 
You have 4gb installed explaining one reason why the 64bit edition of Ultimate would. It simply utilized the memory more effeciently from not suffering with the infamous 3gb barrier seen with the 32bit kernel.

Plus you wouldn't generally see as many startup items loading due to a software incompatibility barrier between kernels as well as between progressive versions of Windows. Backward compatibility doesn't mean everything will run by any means there. In the long run everyone will have to go 64bit once older 32bit versions are no longer seeing any support.
