Advice re: installing Win7 version to version

I bought a used computer with Win 7. I later noticed that at the bottom of the desktop it says "This is not an authentic copy of Windows". But when I go to Systems it says it is activated and there is a product code listed there.
How could it be activated without a valid product code?

Also, if I buy a new full version of Win 7 Home Edition or Win 7 Professional can I install it over the existing version of Win 7 Ultimate? Will it allow me downgrade by version? I tried doing that another computer with XP, installing a Home edition over an XP Pro edition and even wiping the hard drive clean, it wouldn't accept it. So now I am hesitant.

Also, if a Win 7 disk has been installed previously but was de-activated, can it be activated again on a different computer?. Can you use that COA to re-install a new Win 7 version? Is that legal?

My budget is squeezed so tight, it screams not squeaks so I am trying to find a decent copy to take care of the unlicensed problem so I can download the updates that are now refusing to install. I just don't know if I am stuck with Ultimate or can I downgrade to Home edition or Pro? My computer won't take more than 4 gig ram max. Also, it is running on 32 bits. Do I have to get a 32 bit version or can I get a 64 and only use 32 of the 64? LOL

To sort it out:
1: If I have a product code that is activated, is this still a unlicensed version?
2: Can I downgrade by going with a new unused Home edition or Pro when I already have Ultimate installed?
3. If I find a disk that has been deactivated, would it be safe to install and re-activate it to get a new COA?
4. Do I have to stay with 32 bits or will 64 bits work on my computer also? Kind of like buying a motorbike that goes 100 mph but I only go 50mph?

Hi JohnB, the website said that it was unable to validate it. And it said purchase for $199 a validation number which would be sent to me by email. Ahem! I can buy a new full version of Ultimate for around $50 but I just didn't want to put out that money if it isn't necessary. What product key is listed on my computer if it isn't validated. It says it is activated?
I bought the computer from an individual who buys computers from companies who are upgrading their equipment. He takes them and refurbishes them and then sells them to persons like myself that don't have $500-600 for a new computer from a dealer.
So, am I stuck? Do I have to buy an Ultimate version which is more money than the Home Edition or Pro edition?

Also included in the computer was Word 2007 and the update that refuses to install is a security update related to Word. I've tried to delete it completely and not even install it but haven't figured out how to do that.
 
If the person you bought it off of won't help you then you can buy any version of windows 7 and install it fresh.
