Any Downsides?

That will depend on your primary use of the system in general. If you are planning a gaming machine seeking high performance say goodbye to that idea. But if you want a good "workhorse" for multitasking then you would look into a durable board with one or more work horse cpus like dual cored soon to see quad cored Opterons or even Mac xerons on a multiple cpu board.
 
Asus is generally a great brand to go with. The board there also keeps you in the fast lane with the C2 Duo. But the price tag is on the high side with DDR2 533 and DDR2 667 being the memory used on the 1066/800mhz fsb model there. I do quite a bit of video editing here at times. People want weddings and other occasions on dvds obviously.
 
my work has been asking me to make music videos a lot lately. i'm also trying to see if i can upload a mac os on it.
