better for ddr2 800 or 1066???

The DDR2 800 is slower then the ddr2 1066. If you do not really have atight budget, go for ddr2 1066. But if you are on a tight budget, then go 800MHz, because 1066 is more expensive ram.

Both motherboards will work with either DDR2-800 or DDR2-1066 RAM, if you get the one that doesn't natively support the 1066 speed then you can simply overclock the RAM from within the BIOS. I would get the $215 motherboard and DDR2-1066 RAM, since the difference in price between the two (RAM) isn't much.

even though it can support 2 types of ram you need a better cpu for ddr2 1066, like with amd motherboreds, only am2+ proccessers can use 1066, i would just go with the 800, theres not a big enough differnce to even tell lol, i cant even tell the difference from 400 and 800

if you can utalize ddr2 1066mhz go for it as long as the price isnt double that of 800mhz!

You don't need a better CPU to utilize DDR2 1066. Granted if you leave everything at stock it won't make much of a difference, but with DDR2 1066 the RAM is less likely to bottleneck the system when you overclock, and generally it allows tighter timings at a lower speed (ie. DDR2 1066 running at DDR2 800 has a greater chance of running at lower timings then factory DDR2 800).
