well i ask my mom for new computer parts for my b day and xmas and she said sure, so i asked her if i could spend 300 bucks between my b day and xmas she was cool with that so i have a budge of 300 bucks i need a new cpu mobo and ram. heres what i had in mind

Phenom II 940 won't work on AM3 socket mobo.

The option Benny Boy put is better I would say, but that is provided the deal, or a similar one, is still on by the time your birthday/yule comes around

In that case, I would go full AM3, but go for an Athlon x4 instead.

(I know you are going to use a custom HSF, but that is a better chip for overclocking than the OEM versions are, plus you get better warranty with retail)

If you mean $300 before MIR, then go for the HSF daisy posted, UNLESS, you have a large case, in which case for for a Scythe Ninja instead:

It is massive, and can be a bit fiddly to get installed, but for the price is an excellt heatsink.

If you mean $300 after MIR, then go for a CM V6 instead:

yeah my bother has the cpu i built it for him a while ago. i didnt know you could overclock a non black edition

You can overclock it, you just can't raise the multiplier over the stock, so for that CPU I think it is 200 x 16. You can raise FSB and you can lower the multi, but you can't raise the multiplier past that.

You will still be able to get a very good OC out of it, but make sure that memory and CPS FSB aren't linked in the BIOS, if that isn't an option, drop memory speeds to 1333MHz stock, so as you raise your FSB clock, your memory will rise, but not be overclocked. The performance difference will still be possitive, because even at 1333MHz compared to 1600, the difference isn't noticable, so if you get your memory to say 1450MHz from overclocking your CPU, that difference will be even less

yeah i dont really know if ill need to overclock cuz my dual core is at 3ghz and i can get decent fps in games that use more than one core so i think it will be fine till amd next am3 cpu comes out and prices get lowered. so my bros ram is 1600 and the timmings need to be 9-9-9 at 1.6v with ones do i change in the bios to get them there right now there running at 1333mhz?
 
See if you can get some 1600mhz CAS8 or CAS7 RAM. 1333mhz CAS9 is slow. 1600mhz CAS9 is average...
