Build a PC - Cheap and fast

My PC is outdated, and I need a new one. I can't afford anything over like 620$.

This is my project:

So what do you think? Any improvements that can be made without affecting price?

Well, I have a cabinet with powersupply, keyboard and mouse, speakers, CD-rom and harddrives.

Just one thing: the reason I'm buying a new PC, is because this one doesn't work properly. I'll explain:

Sometimes when I try to start the computer, the screen stays in off-mode or "Stand-by", and the motherboard give me this message through the speakers: "System failed due to CPU/GPU (don't know what it's saying) overclocking). When I try again later, it works, but even then, my computer just freezes sometimes. Music, video, mouse, keyboard, screen, everything just stops?!

Well, I'm not a gamer. But I would like the computer to run most games without lagging, like for example TrackMania Nations and Call of Duty. But it's really important to me that it's as quiet as possible. The card I have picked out is 0 db (noiseless) so that why I liked it. And since it's 512 MB AND PCI-E, I thought it didn't really matter that much. If this isn't good enough, could you give me a suggestion? Not much more expensive please.
 
the amount of memory only matters if you have a good card like the 4870 or gtx 280, at that point, 1gb of ram will help, but lower end cards like the 3650, or nvidia's 8500gt wont be helped by 1gb of ram
 
Ok, so it's no point to buy like Gainward GeForce 9500 GT 1024 MB (+30$) instead?

Which counts the most: memory, memory frequency, core frequency or memory bandwith?

BTW: Should I go with the AMD Phenom 9850 Black Edition (then i'll have to change the motherboard), or just keep it with the Intel Core 2 Duo E8400?
 
the e8400 will be better compared to the phenom, and its not really any of those things listed, unless it has a good core(ie: gt200 or rv770, g92, or r670)
 
Your saying "the phenom would be fine". The phenom is actually more expensive, because of the 4 cores. My point is: should I spend some dollars more on these 4 cores, even though the core frewuency is lower, or should I just go with the 2-cored processor which have a little higher frequency? Which one is fastest on Photoshop and multitasking?
