Computer Upgrade

Im wanting to upgrade my computer in a month or two and this is what Im looking at atm.

ASUS P5LD2 R2.0 LGA 775 Intel 945P ATX Intel Motherboard - Retail

Intel Core 2 Duo E6320 Conroe 1.86GHz LGA 775 Processor Model BX80557E6320 - Retail

CORSAIR XMS2 2GB (2 x 1GB) 240-Pin DDR2 SDRAM DDR2 800 (PC2 6400) Dual Channel Kit Desktop Memory Model TWIN2X2048-6400 - Retail

ARCTIC COOLING Freezer 7 Pro 92mm CPU Cooler - Retail

All of these are on newegg, total is around 36x after the rebate for the ram, Im looking to spend no more than 400-450 (max) for the upgrade. Just looking to upgrade the cpu, mobo, ram and cpu cooler, everything else is working fine for my needs atm.

I dont see how the E6400 is better than the E6320 seeing as how the E6400 has less L2 cache then the E6320, I planned on the E6320 since it has 4mb of L2 cache and the fact that I can overclock it to a higher frequency.

But I do agree on the motherboard change.
 
I found someone to buy my old mobo/cpu/ram/vid card/hd, I have a centurion by coolermaster and for my needs it fits it very well.

Im just hoping that in a couple of months the price drops down a bit.
