is this a good CPU cooler for Socket 754.. i would be putting it on my AMD Athlon 64 3200+ Clawhammer... so is this a real good Heatsink n Fan.. im wantin to spend under $40..

Its an upgrade from stock!!! It will help in any overclocking needs you may have/want.

Do a search on Newegg or whatever and set the max to $40 --- if you dont realize -- it includes damn near everything.

I have the same HSF... was easy to install and works great. Keeps my CPU temp below 30C. I bought mine retail for $40. However, I recommend using the Cool & Quiet feature. At full throttle, the Venus 12 is quite loud.

Basically, it channels less voltage to the CPU and HSF when under light load and vice versa. You can use the manual fan controllers if you choose not to use the Cool & Quiet feature.
