Gigabyte GA-P35-DS3L and E8400 freezing

I upgraded to Gigabyte GA-P35-DS3L(rev. 2.0) and E8400 but it kept on freezing so I am currently using:
WinXp Home
P4 3.60GHz
Asus P5ND2SLI
WinXp Sp2
8800GTS 512 - 169.21
2 Gig Ram
320 Hard Drive
535W Enermax

With the Gigabyte GA-P35-DS3L and E8400 installed my computer would have random freezes where my screen and mouse would freeze and than I would have to restart. I have read that Gigabyte GA-P35-DS3L(rev. 2.0) supports E8400 out of the box but http://www.gigabyte.com.tw/Support/Motherboard/BIOS_Model.aspx?ProductID=2629 states that Bios F8a 2007/12/06 "Support Intel 45nm Wolfdale E8xxx series CPU".
Is my version of Bios the reason why my computer freezes? I am 99% sure my PSU, HD, RAM and GPU are not to blame, but I need professional opinions before flash my Bios.
I also do not know how to flash my Bios, I read that I need a floppy disk or a thumb driver but I don't have either. If I was to buy any 1 GB thumb driver would it work to flash my Bios?
 
Ok first things, PSU what make and power is it and age
what gpu have you got and age same with ram and h/d please,
the m/b your on about is very good and does norm perform well out the box with a E8400
also where you checking temps, do you know your bios version?
and which o/s you using?
 
Rev 2.0 supports 45nm out of the box, but if you want to double-check you could check the name of the BIOS you should have on Gigabyte's website, and check the name of the one you currrently have, which should display on the splash screen before you enter the BIOS. Your motherboard manual should have more specific instructions.

edit: I think the symptoms for an out of date BIOS are different too. As I understand, it wouldn't even boot if it doesn't support the CPU you've installed. I believe your problem is elsewhere.

I didn't have a problem. What have you done to prove its not the other items you mentioned? I'm using the F8b bios but it worked out of the box. I updated the bios when I encountered another problem but later found out it had nothing to do with the bios. And yes, you can update your bios with a flash drive but it must be FAT32.

Thanks a lot for the help guys, the only proof I have that its not my Ram, HD, GPU and PSU is that I am currently using it right now with my old Asus and P4.

What ways do I have to see if there are indeed causing the problems?
 
loosen the ram timings enormously, update your video cards drivers to the newest, check your voltages and whatnot in your bios, take out all but one stick of ram and switch it around in the slots, that kind of stuff.
