good combination to replace?

hey guys, since my pc is starting to act up, and i want to take action b4 sometihng reli goes wrong. so ima buy a new cpu and mobo to replace my current set up. just need your opinions.

the mobo says its for athlon 64, but since its a s754 im pretty sure its compatible with the sempron im gonna get right? please tell me wat u think. im tryin to upgrade on a budget too, and i stilll gotta get memory... so lets keeep it under 140 USD.

what exactly is going wrong...it could easily not have to do with that at all.

Anyways they are compatible, but i would recomend going an extra step and get a Semrpon 2800+ it'll only be about 15$ more i think.

well flame.. there are many things wrong and i dont knoe where to start or how to start at all. lol. ill name some of the problems.
1. when i turn my computer on, the computer turns on but nothin shows on the monitor. the light on the monitor is on standby. and i have to manually shut it down (5 sec technique) and turn it on agian, and that sometimes solves it. if not then i will have to either switch the psu off or the power surge off, then turn it on and THEN everything will be normal.
2.all of a sudden, my cpu clock speed went down to like 500mhz, so i had to go into bios to reset it up as 800mhz again (it wont go any further)
3. it takes wayy too long to load up nowadays.. 5 minutes....way tooo long if urin a rush to print out something b4 school starts or w/e
4.lags on a lot of programs
5.just today i turn it on and at the begining it says somin like CPU not working please check cpu settings yada yada.

so u see........ problems just keeeeep popping up. and i mean, comon its a p3. so i dont blame it. its time i upgrade...

EDIT: o yea, and sometimes when i turn on my computer, theres a loud noise like a saw. its like gerrrrrrrrrrRRRRRRRRRRRRRRRR like if a cable got into a fan. so i opened up my computer to check all the fans etc. and unpluged all the 12v cables to my peripherals and only left my C and E drive plugged in. and 1 by 1 i began to plug each drive back in, and the noise didnt come back again, so iono..... im pretty sure its one of the old drives.. but im just focussin on the main system here.

The CPU is compatible ... although id suggest you get the 2500/2800 (to bring it to 256K of L2 ... i know AMD chips arent usually cache starved but that only applies to 256K+ chips really)
