I've been thinking about upgrading to a GTX 260 and I have a couple of questions...

Would I see a noticeable increase in gaming from my 9800 GT? My screen resolution is 1360 x 768.

Will it cause any issues with my rig?

I've also been thinking about upgrading my CPU, should I do that first to prevent any bottlenecking or what ever it is.

i have a gtx 260,and it is definetly faster than a 9800gt.however im running mine at 1920x1080.at your resolution it still say it would be faster than a 9800gt.although games tend to become more cpu bound at lower resolutions.that being said a cpu upgrade may hold more benefit.
