Help with upgrade

Hey guys, i currently have the comp in my sig, the problem is that its socket 939 and i cant upgrade to anything better in that socket so i want to change my core parts which are mobo cpu and memory. My budget is $300 at most. I want it to be a core 2 duo and the mobo to be micro-atx but i dont know what mobos are good... any help??

He wants a new set K3rupt but the problem consist on his budget and that most mother boards that support DDR 400 are shitty
 
Thats exactly what i want to do, upgrade mobo cpu and ram (from amd to intel yes), dont care if the mem isn't pc3200...
 
Well, thought about what XanderCage said and agreed, after all im not going to play the newest heaviest games like Crysis so im going to buy 2 gigs of ram, (2x1GB) and happened to find these in newegg, which one do you guys recommend out of these three???

Also, how do i know what voltage to get??? i have looked everywhere and i cant find any info on that.... BTW all the above are 2.6V

OCZ one.. usually the motherboard will automatically adjust to the corect voltage. No worries there (you can also adjust manually in motehjrboard)
