I'm trying to build a 3rd pc for basic use, so it doesn't have to be too powerful.

I was wondering if anyone could help with advice on the difference between
an:
AMD athlon XP 2800
AMD Sempron 2800
or a Celeron Processor 320 2.4GHz 533Mhz 256K

I need to know what one would be better overall, plus if possible any pors/cons.

given your requirements for the rig all of these will be fine, go for the cheapest.
 
i'd go with the sempron.
the athlon XP may be a bit more powerful, but sempron is probably 64-bit and compatible with newer technology such as SATA and PCI-E in case you'd ever want to upgrade.
make sure you get 939 socket :) dual channel memory = win
