nobody can really tell you how high you can overclock you cpu. i think it would go to 2.4 or 2.6 but dont push the voltages to high and watch the temperatures. i would go with the second case cause it looks like its better.

it actually has 3 80 not 90 but i think the sunbeam would be better i didnt look at the number of fans. both are good cases and would probably have good airflow get either one there both good.
 
stock cooling is good as long as u dont overvolt it...
and you apply the heatsink correctly.
btw the X2 3800+ can be o/ced to 2.4ghz without an overvolt QUITE easily.
btw, i got it to 2.54ghz.
however, all chips are different and its hard to tell how good a heatsink is most of the time, and it also depends on how well you apply it. get water cooling if you care enough.
