That should be OK since that is what they (Microsoft) suggests you have free space wise. A good rule of thumb is always keep about 10% of your drive space free. However, I think vista is a bit more resource hungry. I think your biggest problem is probably your processor, and I would possibly look at upgrading if you can sometime soon.
I have a legal copy of Vista Ultimate sitting on my desk right here in front of me, which I have not installed on my PC yet, mainly due to my machine is about 4yrs old right now. I will be building a new one soon for mainly Fallout 3 and Startcraft 2 when they come out.
I will be trying vista full on then. If you want to make the jump to Vista you will just have to build a better rig unfortunately, in my opinion, or turn a lot of features off in Vista which are resource hungry.
