i wouldnt say a sound card is NECESSARY, although it helps. For instance, high quality sound will make a game run slower if you dont have a dedicated sound card. And of course the obvious, it will sound better also, especially with headphones. If you have good speakers and drivers you can make the sound good with just your mobo's sound chip. I dont have a sound card and my sound is perfectly fine for me. it sounds a good bit better than i thought actually. but like you said, you'll be using headphones. If you have the money go for a creative labs 24-bit card (such as their 'extreme music' card), but otherwise you may want to look into the audigy2 or some other lower priced card.
