Is it worth it to overclock a mx420 64mb?

My dad's comp is a p3, 800mhz, 256mb ram, and 64mb mx420. My dad is against overclocking his computer, but I'm trying to convince him that it's worth it for playing games. It would be a noticable difference overclocking this card right?
 
Well the thing is that my dad won't upgrade anything, so that means no possibilities of new graphics card or anything. I actually manage to lan Rome Total War on lowest settings and would like to increase my fps for that game specifically. Would the graphics card overclock help or is the processor my bottleneck?
 
The MX420 is like the slowest GF4 card ever made! I don't even think overclocking would yeild that much of an improvement...
 
Hmph... I was thinking of the GF2 MX200 :P Hehe, oh well. Still, that's the lowest of that series. I've used an MX440 before on a friends machine and it's no good... Litterly half as good as my old 8500, specs wise. Obviously, that one's worse.
 
I got a nice boost in speed when I OC'ed my GF4MX440 and he would learn how to overclock graphics cards, nothing is more valuable than experience.
