Memory Timings/Detection

I'm confused about readings I'm getting about memory amount and speed. I have 4x1GB DDR2-800 set to (4-4-4-12-2T; 2.1V)

Memtest+86 shows:
3327M 3000MB/s
RAM: 442 MHz (CPU/5)(DDR 884)/CAS: 4-4-4-12/DDR-2 (128 bit)

CPU-z shows:
368 MHz (CPU/6)

I have set my timings in accordance with EPP#1 settings in CPU-z SPD tab (4-4-4-12-22-2T). These are the settings Corsair recommends.

I ran Memtest for 2 1/4 hrs, 1 pass, 72% on 2nd with no errors. But I cannot run XP Pro for more than 2-5 hrs without a random reboot.

The system runs fine when all bios settings are set to auto (JEDEC#2 5-5-5-18-22) But it will set 22 to 23 instead.

I know I'm rambling but I'm hoping someone can see what's going on here and maybe point me in the right direction.
 
It's certainly possiable that cpu-z is wrong. This happens more then you think it would. There is also no advantage in setting your own settings unless your over clocking the RAM. Let the system set them automaticly and your will be fine.
