MotherBoard & CPU Combatibility

Yes it will, BUT you can only get slow DDR ram with that motherboard(well it will work with faater ones, but it will run slow) if you get a motherbord for not much more money, that supports DDR400 instead of DDR 266 you will definatly see a inprovement in that and it'll be worth the little extra it costs.

EDIT:Actully, you should get a motherboard that supports DDR400 OR DDR333 because the processer you choose has a FSB of 333 so your DDRRAM will only run at DDR333 speeds, whether you have a DDR33 or 400 motherbored, if you have a 266 motherbored like the one you picked it will only run at DDR266 no matter what.

Also If you plan on gaming, i would try and find one that supports APGx8 instead of x4.

Ok, I'm starting to upgrade my computer and now I'm moving on to the CPU. Will this processor ( AMD Athlon XP 3200+ )

What cpu do you have now?
I not sure if it worth upgrading the cpu on a skt A board. I dont think the $102 worth the small improvement you will get. Of corse this depends on exactly what cpu you have in it now.

if u are upgrading from a different athlon xp, like a 2400+ or something of that sort, u could jsut OC it to the speeds of the 3200 and no need to waste money on a new cpu.

It'll prolly install, but your 2.2Ghz chip will be running 1.46GHz due to the mobo's limitations.
