XP will see the NTFS partition just fine. Ubuntu will be able to use the NTFS partition as well. XP will not see the ext4 or swap partitions of Ubuntu, however. I have heard there is a utility that will allow that, but I have not used it myself.
I have used XP with service packs SP2 and even SP3 perfectly fine with Ubuntu alongside.
