Get the first one, you can up the clock on it yourself.

Yeah, usually the premium that you pay for "factory overclocked" cards is not worth it. If it says that they use hand picked cores for the overclocked versions, then its worth considering, but most of the time you can overclock a stock one up to and beyond the factory overclocked ones anyway.

Only reason I was considering the 2nd was lifetime warranty versus 1yr for $30 difference, so u guys don't consider that important?

Get the XXX edition!!! Much better warranty, speed, and cooling. The cooling on the xxx is way better than any other 8600gt and it is needed!!
