need help choosing $400 budget

hello. i have a friend thats wanting to buy my:

asus m4n98td evo socket am3 (sli) motherboard
AMD Phenom II x6 1090t
hynix 8 gigs ddr3 1333Mhz (4x2gig)
Corsair A-70 Air cooler

he offered me $400. i have been thinking of switching over to intel, and then when he offered $400, it made me think even more seriously about switching.
thing is, i really dont know what to do. if i do it, ill need to buy:

new motherboard (help me decide which platform-something better than what i currently have)
new CPU (something better than what i have-i do gaming and video encoding all the time)
Ram? (i have 2x2 gigs of samsung ddr3 1333Mhz sticks, but i dont want this to restrict performance since its not the greatest ram)
CPU Cooler? (i have another corsair a-70 here, but i dont know if the bracket will work for the newer intel sockets)

i will be using the $400 that i get from my current stuff to get these new things. any suggestions or opinions on what i should do?

CPU - i5 2500K. no doubt
mobo - GIGABYTE GA-P67X-UD3-B3? ASRock P67 EXTREME4 (B3)?
RAM - get some major brand with ddr3 1600
CORSAIR Vengeance 4GB is cheap if consider MIR

CPU cooler - A70 seems work with LGA1155

the deal sounds good, you will need to coupe up some cash on new build for aftermarket CPU cooler, as the 2500k, ram and motherboard might run you close to $400 for best of them.
