need help in up-gradation

hello everyone
i want to upgrade my old pc

pentium 4 2.4 GHz
2 x dynet, 1Gb, DDR-400, 200 Mhz
Intel 845Gl W83637F
Samsung 40 GB SP0411N (Parallel ATA)

New Specifications:

Intel® Core i3 530
Asus P7H55-M
Seagate Barracuda 500Gb

Is it OK if I kept the old RAMs? If Not then please suggest a good one of 2Gb
Is the motherboard works good with this processor?
Is there ay better alternative for motherboard at same cost?

What country are you in and what is your total budget to spend? With a tight budget you may consider AMD based build...you'll get a little more for your money.

I'm from India and my max Budget is Rs13,000 (280 $)
and the motherboard here specified don't have onboard video chipset but Asus P7H55-M has. so.....??
 
I think core i5 540 and i3 530 at same price??

BTW, intel release new line of CPU replacing socket LGA 1156 (the one you are choosing). But the new line of core i3 will be release on 20 Feb. I do recommend you want until march if possible to get new core i3 2100 with H67 motherboard.

With your budget, you could also consider Athlon IIx4 with 880G motherboard.

RAM - all new motherboard take DDR3 RAM.
 
Is there any better CPU + motherboard combination than this one? For HD movies?Can't afford External Graphics card
