need some clarification on installing and partitions

My friend has a computer with xp 64bit installed and we have shrunk c drive and created a e drive out of that freed space and put all his files on that. He doesn't like 64bit at the moment so wants 32bit. From my understanding i would just need to install 32bit over the c drive and the e drive would be left how it is and not be touched?
is that correct?

Correct. Your Install CD should take care of everything. You'll be able to see your partition layout during the Install process, and can choose the C: drive there.
