Nope the proc and mobo isn't compatable, for that price you should get a 3500+ for like $120 or u could get a 3700+ for like $220, or you could keep that proc and switch that 939pin board out with a 940pin board

also it would be cool if you could link all that stuff where we could click it and it would take us to the item on newegg

ah, yes links, sorry forgot about those

I haven't changed anything on here yet, could you rcommend something, if there is a faster processor for about that price that would be awesome, and i'm not super stuck on anything here, so make any changes you think are needed (within my price range of course)

Proc: AMD Athlon 64 3500+ Venice 2000MHz HT 512KB L2 Cache Socket 939 Processor - Retail $109
OR
AMD Athlon 64 3800+ Venice 2000MHz HT Socket 939 Processor Model ADA3800BPBOX - Retail $145

MOBO: DFI LANPARTY UT nF4 Ultra-D Socket 939 NVIDIA nForce4 Ultra ATX AMD Motherboard - Retail $123.99

DVD/CD: the one you have looks fine
Ram: looks fine
HDD: I recommed a WD, hitachi, seagate, samsung
GPU: Looks alright too
PSU: Depends, if you need to you can kinda cheap out here
Case: prolly can cheap out here too

I prolly missed a couple things in that setup, but its solid and give you somthing to work with....
also, go add all this to your cart on newegg and pick out a case, psu, and a hdd and see what that adds up too, then we can start working with the price. U might be able to get one on the x2 procs but in not really sure yet.....

Just for future reference, socket 940 is a server board, socket AM2 is AMD's newest line (it has 940 pins, but is NOT compatible with socket 940 boards) and socket 939 is similar to AM2 but does not have DDR2 support. If I were you, I'd wait until July when AMD will drop prices on their processors dramatically, due to the release of Conroe.
