ntoskrnl.exe error file is missing or corrupted

I'm running win xp,80gb hdd, 1024ram, asus motherboard, 1gb duron processor
I've tried all of Microsofts advice including:
1.copying a new ntoskrnl.exe file with the Recovery console from CD to the bad file.
2.bootcfg
3.bootfix
4.bootmbr
5.a complete system repair with the cd (done this a few times)
6.scandisk
Problem is when i start the computer first up its ok. When i reboot as if ive just installed a new program and a reboot is required i get the error ntoskrnl.exe is missing or corrupted. Ive tried everything above with the error still coming up.
I have nortons firewall in place,nortons antivirus running and kept up to date,and i scan religiously for spyware with spybot search&destroy.
I really am at my wits end, ive run out of ideas of what it could be. i would appreciate any help that you can give.

I had a look around, when the pc reboots there isnt a beep where there should be.Do you think the motherboard is an issue?

The beep should only occur on initial power up :)
 
No there isnt a floppy in the drive. A normal reboot after loading a program for example will give me the ntoskrnl.exe missing or corrupted.I was thinking it could be a faulty motherboard?

More likely a faulty installation or faulty drive ... certainly not the mobo :)
