Only downside i can see is the powersupply, would be better if it was a cosair but you cant have everything when on a budget =]. Anything you would change sorry for so many builds trying to understand whats best.

Windows Xp Professional, I know probably will get a "legit" version of win 7 64bit.

800.00 even perfect to the budget, and 30 mail in rebates with a 10 dollar gift card.

so 770.00/760.00 totaled shipped to the usa.

Get the 955 rather than the 965, then OC it higher with the money saved: buy a third party HSF. I wouldn't get a rosewill case but if it's in your budget...
XP is 32-bit, it'll only support 3.5GB of RAM. Apart from that, looks good.
 
Looks good. I would recommend The 1GB GTX460, but I can see you're already over budget, so don't worry about it.
 
I'd recommend another brand of 460 other than gigabyte because all reviews i've read show that the gigabyte models have less performance than other ones, by about 5fps all the time. the gigabyte loses to palit and gainward cards...
