Ok, I understand mostly about the OEM. Question, If I just replace the processor, do I have to still contact ms to get a new key code or will it see the new chip and go about it business. I have a amd 64 x2 5200+, thinking about buying the 6400+ soon. Everything is running fine, just want to upgrade the chip, from 2.6mhz to 3.2mhz. I run windows xp pro x64 as my signature says.

I'm pretty sure you will only need a new key if you replace your HD:) & or motherboard.

You should be fine. You might have to do a BIOS update though. I had to on mine but I had a different CPU.
