PC keeps shutting down......cpu problem????

I have a HP SFF DC5100 desktop running xp pro with a Pentuim 4 2.80 ghz cpu.
My problem is that the damn thing keeps shutting down on its own.
Thinking it was maybe getting too hot I cleaned out the insides and checked the fan working fine. I have turned up the fan in the bios and have also re applied Artic Silver 5 between the cpu and fan assembly but still shutting down.
I'm 99% sure it is to do with overheating as when it shuts down and I start it up again it tends to shut off quicker and quicker the more I start it up.

Any ideas?

Could the cpu be on its way out?
 
Does it even boot into windows? If so, you can check the event viewer to see if there are any entries explaining the shut down.

Are you overclocking? OEM computers like HP are not made to overclock as there are no options in the bios to do so. So overclocking in these type of machines is strictly software based loaded when windows loads. My bet is heat issue, is the heatsink seated properly on the processor, did you apply thermal paste correctly, only a drop about the size of rice grain is needed.
