If he gets the 940, he'll either be forced to use his athlon II heatsink (which is a tiny piece of garbage and will run very hot even at stock clocks on a 940) or buy another heatsink bringing him back up to the cost of the 955 anyway without all the perks of the 955. And I bet, at stock clocks, the C3 955 with stock HSF will run the same temps as a 940 with an aftermarket. And at that point, he will not have AM3 upgradeability, he will not have the 3 year warranty, and he will have a slightly slower CPU (probably not going to be noticeable but it's just another point).
