Serious rebooting issues

Heres my issue:
I've got a server...specs are:
AMD Optron Dual core running 500GB hd w/ 4/512ram
450_watt PSU
a front intake fan 120mm
rear exaust of 120mm

Now the problem is I get random reboots.

my solution is either:
Bad ram 1 pin is burnt (though is NOT visable) re-seated the ram today.
Not enough power for the whole system. (450-wattPSU)

now the temps are on both CPU's around 35C under 40% load.
Those are fairly good temps in my book.

Any advice is greatly appreciated. Thanks in advance!:)

Havent had an oppertunity to run memtest yet. Thanks for the lookout!

Had found out that the fan(s) in the PSU were not functioning & must have been overheating & causing the random reboots. As far as the PSU was concerned, there was a 8-pin connection that I was unaware of. Had me baffaled but had to get a new PSU. Thanks for your help.

Update: Not so good.

Still get the random reboots, bought the wrong power supply. The power-supply that was installed is a 8-pin 450-watt PSU. As I did that I noticed that the fans were not functional (in the PSU) now I re-conditioned those fans & they are working again. However I still get the random reboots to happen.

I am running memtest on it tonight and see if it pulls up any errors in the morning. Would any of you recommend me calling Microsoft ot just replacing the PSU with a stronger one.

Thanks in advance!:D
