what is overclocking?

Overclocking is when you increase the clock speed of a piece of hardware (usually GPU or CPU) to increase speed and performance. If you overclock too much, you run the risk of frying your hardware.

We have a 101 on it.

Is it a name brand machine, or is it a custom built machine?

If it's a Dell/Compaq/HP, etc. then you cannot overclock.

one thing i cant remember is true or not but on certain motherboards can you not flash the hp/dell etc bios back to the manufacturers (if you can find it) which will then allow you to oc?

There are some success stories, but you have to be careful. If you update the wrong BIOS you'll end up with a very expensive doorstop.
