System keeps shutting down and restarting

I am working on a Gateway 3250S with Windows XP, it would sometimes boot up, but shut down after about 5 mins. Then after that it repeatedly starts and shuts down before the video kicks in. I checked the memory with known working memory, still the same result. I tested the power supply and it was good, but still replaced it with a know good power supply to be sure, same thing. I also put in a known working Video card.
I disconnected all drives and just booted the board to see if it was a problem with a drive, same result. I added thermal paste to the CPU just incase it was overheating, still nothing. So, I purchased a new motherboard, the same board and at first it ran great, I ran it for 5 hours with no problems. The next day I went to turn it on and back to the same problem. I am leaning toward the CPU as the problem, I did not replace it with the new board. If anyone has any other thoughts I would greatly appreciate it. Thank you !!
 
The problem is before it gets to the hard drive. I had the hard drive unplugged and still same result. Don't think it could be the bios, I put in a new motherboard. But thanks for the suggestions :)
 
i encountered that problem also.. i think its in the os that has the problem. i saw one in a mall, when a unit restarts when the xp loading screen finishes, it restarts automatically and it never goes to the desktop.
 
I highly doubt that its the BIOS. To me this seems like an unsufficient power supply or faulty memory.

If you have an 3.2GHz with an 350W PSU and starting to load the processor, its gonna cause shutdowns. :D
 
I tried a higher wattage power supply, a 450 same thing, and I tried different memory, still the same. It usually never gets to boot at all, the video doesn't even kick in. So, I tried a video card and no luck. It just does a quick cycle off and on, several times. I did go ahead an order a cpu, just in case, but it will be another week or so before I get it. Thanks
 
I forgot, there is a bios upgrade, but I found too many complaints online that it caused more problems and people trying to go back to the original.
