Not sure the exact model of the K6-2 you have, but if you buy a brand new motherboard I highly doubt it will even fit inside such an old case. So keeping the old Compaq case (while saving you money) won't do you any good.

$400 is plenty for a decent (non-gaming) computer. Look at Compaq's refurb center on their website. My mom got a 3GHz Celery machine, DVD-player, 512MB RAM, 60GB HDD for ~$300. you can use left over money to get a burnere and more RAM.
 
with that compaq, what should i buy to upgrade ( another 512mb, dvd burner new psu?)

can anyone send me links from new egg that has all these?

i would sell the compaq parts that i will be replaceing for some $

When I said add, I meant add, not replace. Another stick of ram and a videocard will be OK. Though the videocard is a matter of opinion and budget. You want one at least to free up the shared video ram on the MB, if for no other reason.
PSU is not a *requirement*; I used the stock PSU on my Compaq, and it lasted all right, even though I added drives and cards.
If you want a DVD burner then you can sell the CD that comes with the Compaq.
