Upgrades for old PC

I have an old PC that I've been nursing along for a while now and am wondering if there's anything left to do with it. I will eventually give this computer to a family member so I'd like it to keep it running for a bit longer. I just recently bumped the memory to the 2 gig maximum.

OS: XP Home
CPU: Intel P4 2.0
Mobo: Abit BD7 Raid Intel 845 chipset
Memory: 2 gigs SDRAM
HDD: Western Digital IDE 80 gig (I have a 250g external for additional storage)
Optical: MadDog CD/DVD RW
Video: GeForce Titanium 128mb (not sure of the exact series)
Sound: Creative Soundblaster Audigy Value
Ethernet: SMC 10/100 Ethernet card
Power: 250w Antek

I kept it clean and everything (except RAM and MadDog) is original equipment. I bought it sometime between 2001-2002 i think (independant retailer). The only thing I can think of is a video card. I saw a PNY GeForce FX5200 256mb PCI card at NewEgg for $40. (Mobo only takes PCI or AGP 1x/2x/4x) Would this be worth it? Any advice would be appreciated.

The only real upgrade I can see is the CPU

$50 USD
Other then that I mean you could Upgrade the video card but chances are you will not be using this for any intense games and thus will not require a nicer video card. The new CPU will make it faster but if its not running slow now it might not be a necessary upgrade. Other then that if its working okay just let it do its thing...

It really depends on what it is going to be used for to what you need to upgrade..

as vampiric rogue said, the processor is a good idea...

the mobo might also be a good idea, but this would include having to upgrade the processor, graphics card and maybe the RAM... so would be on the expensive side...

I would love to upgrade the mobo and related hardware but its a bit more than I want to spend. (I'm saving the serious cash for my new PC) I kinda like the idea of a new processor though. Would there be a significant performance boost from upgrading a 2.0 to 3.0 cpu?
