What goes on?

After installing a new MB (&making sure bios is updated) and drive. I post fine but when I try to boot from XP disc it will not find setup.exe.

If I put that disc in my laptop and run a dir on it I see setup.exe on the disc.

The DVD drive does read files on the disc like fdisk and command but not setup.exe.

What goes on?

Could be a memory Error...
Memory errors show their ugly head quite often around OS reinstalls.

Try downloading Memtest86, burn it to a cd and then boot to it. If you get any errors, your RAM is bad and needs replacing.

Or it could be a problem with the drive you are booting from....

Just guesses based off the information you have provided.

I don't believe it is memory. I have 2G and have tried 2 different memory company. It will post but will not not the new op from the disc

What exactly is it doing when you try to boot from it? Just sits there-Tells you something is missing- Error ?
