Whats the difference?

Sorry about the really NOOB question here, but whats the reason for the price difference here?

Again, sorry for the really stupid question and I know this makes me look really lame, but I cant find the difference.
Does the second one come without a fan/heatsink? is that the difference?

Help would be greatly appriciated,

The first one (the more expensive one) comes with the HSF, whilst the second (cheaper one) doesn't.

I had thought that was the reason from the pics in #2, should have stuck with my gut
